SoftHab is an international software development company headquartered in Dhaka, Bangladesh. We design, build, and support custom software, web applications, mobile apps, AI solutions, and enterprise products for clients in Bangladesh, Asia, the Middle East, Europe, North America, and other global markets.

Our Services may include project-based development, managed software products (such as POS, HR, ERP, and industry-specific platforms), consulting, maintenance under our IS360 framework, and related digital infrastructure services.

3. Scope of Services

Specific deliverables, timelines, pricing, and support levels are defined in individual proposals, statements of work (SOW), service agreements, or product license terms agreed between you and SoftHab.

Where a signed contract or SOW conflicts with these Terms, the signed agreement will prevail for that specific engagement. These Terms continue to apply to your general use of our website and any Services not covered by a separate agreement.

4. Accounts & Client Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate, current, and complete information when registering or submitting project requirements.

You agree to cooperate with SoftHab during discovery, development, testing, and deployment—including timely feedback, content provision, and access to necessary systems—so that we can deliver Services efficiently.

• Notify us immediately of any unauthorized account access
• Ensure your use of Services complies with applicable laws in your jurisdiction
• Do not share login credentials or sublicense access without written consent
• Back up your data where applicable; SoftHab is not liable for client-side data loss outside agreed scope

5. Intellectual Property Rights

Unless otherwise agreed in writing, SoftHab retains ownership of its pre-existing tools, frameworks, libraries, methodologies, templates, and general know-how used in delivering Services.

Ownership of custom deliverables, source code, and project-specific assets will be defined in your SOW or contract. Upon full payment of agreed fees, clients typically receive the rights specified in their engagement letter—often including a license or transfer of custom work product as outlined therein.

You may not copy, reverse engineer, resell, or redistribute SoftHab proprietary software, branding, or materials without prior written authorization.

6. Software Licenses & Downloads

Any software made available for download, demo, or deployment through our Services is protected by copyright and applicable license terms. Use of such software is governed by the accompanying End User License Agreement (EULA) or product terms.

Unauthorized use, modification, or distribution of licensed software is strictly prohibited and may result in immediate termination of access and legal action.

7. Payment & Billing

Fees, milestones, renewal cycles, and payment methods are specified in your proposal, invoice, or client portal. Unless stated otherwise, invoices are due upon receipt or according to the payment schedule in your agreement.

Late payments may result in suspension of Services, withholding of deliverables, or interest charges as permitted by law. You are responsible for applicable taxes, duties, and bank or gateway fees unless explicitly included in your quote.

8. Acceptable Use Policy

While using our Services, you agree not to:

• Violate any applicable local, national, or international law or regulation
• Upload, transmit, or distribute malware, spam, or harmful code
• Infringe intellectual property, privacy, or other rights of third parties
• Attempt unauthorized access to systems, networks, or accounts
• Use Services for fraudulent, abusive, or illegal activities
• Interfere with the security, performance, or availability of our platforms
• Misrepresent your identity or affiliation with any person or entity
• Scrape, harvest, or commercially exploit website content without consent

SoftHab reserves the right to investigate violations, remove content, suspend accounts, and cooperate with law enforcement where required.

Our website content, demos, and general materials are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the website or Services will be uninterrupted, error-free, or completely secure. Project-specific warranties, if any, are defined in your signed agreement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, SoftHab and its directors, employees, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

Our total aggregate liability arising from or related to these Terms or the Services shall not exceed the amount paid by you to SoftHab for the specific Service giving rise to the claim during the twelve (12) months preceding the event, unless a higher limit is set in your signed contract.

11. Indemnification

You agree to indemnify and hold harmless SoftHab from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Services, violation of these Terms, infringement of third-party rights, or content you provide to us for project delivery.

12. Third-Party Services & Links

Our Services may integrate with or link to third-party platforms (e.g., payment gateways, cloud providers, domain registrars, analytics tools). SoftHab does not control and is not responsible for third-party content, policies, or practices.

Your use of third-party services is subject to their respective terms. References to third-party products or links on our website do not constitute endorsement unless explicitly stated.

Parties agree to attempt good-faith negotiation before pursuing formal dispute resolution. Where permitted, disputes may be subject to the exclusive jurisdiction of courts in Dhaka, Bangladesh, or arbitration as defined in your commercial contract.

We may update these Terms from time to time. Revised Terms will be posted on this page with an updated effective date. Continued use of our Services after changes constitutes acceptance of the revised Terms.
